VICI Properties Is Closing Its $1.16 Billion Acquisition of Golden Entertainment’s Casino Portfolio on April 30
VICI Properties closes its $1.16 billion sale-leaseback of seven Golden Entertainment Nevada casinos on April 30. Here is what changes hands, what the deal means for VICI, and what operators should know.

VICI Properties announced on April 23 that all gaming regulatory and shareholder approvals have been secured for its previously announced $1.16 billion acquisition of seven Nevada casino properties from Golden Entertainment, with the transaction expected to close on or around April 30. When it does, VICI will add its 15th tenant and its first meaningful exposure to the Las Vegas Locals gaming market — one of the company’s stated strategic targets since its formation in 2017.
The Properties Changing Hands
The Golden Portfolio consists of seven Nevada gaming assets that together represent approximately 362,000 square feet of casino space, over 6,000 hotel rooms, 4,306 slot machines, and 78 table games. The marquee property is The STRAT Hotel, Casino and Tower, the 1,100-foot observation tower and casino on the North Las Vegas Strip that Golden Entertainment acquired in 2017 and subsequently renovated. The portfolio also includes Arizona Charlie’s Decatur and Arizona Charlie’s Boulder in the Las Vegas Locals market; Aquarius Casino Resort and Edgewater Casino Resort in Laughlin, Nevada; and Pahrump Nugget Hotel and Casino and Lakeside RV Park and Casino in Pahrump.
VICI is acquiring the real estate — land, physical structures, and improvements — while Golden Entertainment’s operating business is being spun off into a newly formed entity, Golden OpCo, controlled by Blake Sartini, Golden’s chairman and CEO. Sartini and Golden OpCo will operate the properties under a triple-net master lease with VICI, an arrangement standard in gaming REIT transactions. The initial annual rent under the Golden Master Lease is $87 million, representing a 7.5 percent acquisition capitalization rate on the $1.16 billion purchase price. The lease has a 30-year initial term with four five-year renewal options, and rent escalates 2 percent annually beginning in the third year.
In connection with the closing, VICI will assume and immediately retire Golden Entertainment’s outstanding $426 million of debt, using a combination of cash on hand and net proceeds from the settlement of forward sale agreements. The company does not require additional capital markets activity to complete the transaction.
Strategic Significance for VICI
VICI Properties is one of the most important balance sheets in gaming. The S&P 500 REIT owns the real estate underlying Caesars Palace Las Vegas, the MGM Grand, the Venetian Resort Las Vegas, and dozens of other major gaming properties across the United States and Canada — 54 gaming properties and 39 other experiential assets totaling approximately 127 million square feet. Its tenant roster includes virtually every major gaming operator.
The Golden Entertainment acquisition adds two specific dimensions that VICI has publicly targeted. First, it establishes exposure to the Las Vegas Locals market — the geographic segment of Greater Las Vegas gaming anchored by Station Casinos, Boyd Gaming, and a handful of other operators serving Nevada residents rather than tourists. The Locals market was the second-largest gaming market in the United States by gross gaming revenue in 2024, and it carries demographic characteristics — consistent local spending patterns, loyalty program stickiness, lower sensitivity to external economic shocks compared to the Strip — that VICI finds attractive for long-term rent payment reliability.
Second, upon closing, Golden OpCo becomes VICI’s 15th tenant overall and its fifth-largest by annualized cash rent. VICI has consistently emphasized tenant diversification as a risk management objective — concentrating its rental income among a smaller number of operators creates dependency risk on those operators’ financial health. Adding Sartini’s Golden OpCo, backed by a personal guarantee from a chairman-CEO with more than 30 years of Nevada casino operating experience, adds a well-capitalized regional operator to the tenant mix without adding Strip exposure.
What Operators Are Watching
The Golden transaction is the latest in a series of VICI acquisitions that have reshaped gaming real estate ownership over the past several years. The structure — sale-leaseback with a long-term triple-net lease, immediate debt assumption, no need for external financing — has become VICI’s operational signature, and it creates a template that other gaming operators have studied as a potential path to balance sheet optimization.
For Golden Entertainment shareholders, the transaction delivers significant real estate value that was embedded in the company’s portfolio but not fully reflected in its stock price. They receive 24.3 million newly issued VICI shares at the agreed exchange ratio plus cash consideration from Golden OpCo, effectively converting gaming real estate value into shares of one of the most liquid gaming REITs in the market. Sartini retains operational control of the properties through Golden OpCo’s master lease, preserving the management continuity that VICI cited as a key attribute of the deal.
The April 30 closing adds seven Nevada properties to VICI’s portfolio at a moment when the Las Vegas Locals market and regional Nevada gaming continue to demonstrate the stable cash flow characteristics that make them attractive to a long-term net lease investor. For the broader industry, the transaction confirms that gaming real estate remains a liquid and active M&A category, and that well-located regional casino real estate continues to attract institutional capital at cap rates — 7.5 percent in this case — that reflect durable confidence in the sector’s fundamentals.
